line have joined edocs' management team.
Mr. Cohen will be responsible for all aspects of edocs' marketing
initiatives. Throughout his career, he has created highly visible and
successful business-to-business, and business to consumer branding,
advertising, and promotional campaigns. At CheckFree Corporation, he was
responsible for the corporate marketing and positioning strategy for the
Retail Financial, Corporate Financial, Investment Services and Software
Solutions business. Prior to CheckFree, Cohen developed award winning consumer
marketing and trade programs for such industry leaders as Kellogg's, Coca-
Cola, NBC and Turner Broadcasting including: CNN, Headline News, TNT, TBS,
Turner Home Video, World Championship Wrestling, Goodwill Games and the
Atlanta Braves.

Mr. Morgan will be responsible for future releases of edocs' products for
Internet billing. He has four years'experience shipping Internet products for
customers at some of the largest commerce sites such as ConsumersUnion, Time
Warner, RealNetworks, AT&T and Disney. While at Open Market, Mr. Morgan
managed development and marketing activities for the company's groundbreaking
Transact 4 product. According to a recent Dataquest survey, Transact holds
30% of the market for Internet commerce software and is used by some of the
world's largest e-commerce web sites. Prior to Open Market, Mr. Morgan was at
Harbinger Corporation where he launched a store-building and Web-hosting
Internet product which was selected as a finalist for a 1997 Codie Award by
the Software Publishers Association.

Finance from the University of Chicago's Graduate School of Business.
