Ascend Up 5% On Report Lucent Is Close To Buying Co.

NEW YORK (Dow Jones)--Shares of Ascend Communications Inc. (ASND) were up nearly 5%
after London's Financial Times reported Lucent Technologies Inc. (LU) is close announcing an
acquisition of the data networking equipment maker.

The newspaper reported the deal - which has been rumored for months - is likely to be valued at
more than $16 billion.

Both Lucent and Ascend declined to comment on the report, calling it speculation.

But Sanford Bernstein & Co. analyst Paul Sagawa said both companies have "laid out business
objectives that suggest they would be open to such a deal."

Sagawa said he believes Ascend would consider an acquisition that would value the company in the
"high-80s" on a per-share basis.

Given the recent run-up in Lucent's stock, he added, the company could come up with a price in this
range by using an exchange ratio of about 0.8 and still do a deal that would be accretive.


The recent rebound in Lucent's stock, Sagawa stressed, is a critical factor to getting a deal done.
