The question is who are the private holders, if these are management from prior acquisitions (and possibly on the way out), I would not worry, if it is VECO's own management, it is not a good sign. The fact that out of the 3.5 MM the company is raising only 1 MM new shares means that inside holders are jetissoning 2.5 MM quite a big chunk of the total float.

Yet, this offering (from the company point of view) is well above book value and thus should be welcome cash ($60 MM or so?)
