Compu-DAWN enters e-commerce
with LocalNet buy

CEDARHURST, N.Y., Jan 11 (Reuters) - Compu-DAWN Inc.
(Nasdaq:CODI - news) said its newly-formed unit e.TV
Commerce Inc. has bought the operating assets of privately-held
LocalNet Communications Inc., for undisclosed terms.

LocalNet Chairman Ted Turner IV has assumed the role of chairman for
Compu-DAWN and e.TV,
the company said.

Jacksonville, Florida-based LocalNet is an Internet, e-commerce and
telecommunications sales
company. Most recently LocalNet launched an online shopping mall that includes
Amazon.com
Inc.(Nasdaq:AMZN - news) and K-Tel International Inc.'s K-Tel Records
(Nasdaq:KTEL -
news). The company also sells television set-top boxes.

Compu-DAWN Chairman and Chief Executive Mark Honigsfeld has assumed the
position of e. TV
CEO and will continue as CEO and president of Compu-DAWN.

The company said it will set up reserves of about $1.5 million as a charge against 1998
earnings. As
part of completion of the deal, there was a partial satisfaction of a $1.8 million secured
loan
previously made to LocalNet by Compu-DAWN.

Company spokesmen were not immediately available for comment.
