Gersh,

Ten percent of the population are active participants according to the most recent government data (http://www.dol.gov/dol/pwba/public/programs/opr/bullet1994/d_3.htm).

Unfortunately, this data is based on 1994 IRS filings for plans.

I would bet that the number is closer to 30 million active participants today, but that the number is no longer growing very quickly since most companies now offer plans.

The total assets in 401(k) plans are probably nearer to $1.5 trillion than the $1.0 trillion number.
