Most likely the shares were bought with the knowledge and consent of HERZ. No need for EDII to buy 10% of a company, if it didn't have an agreement, in principal with the CEO and major shareholder of HERZ. HERZ is not required to issue a Press Release. It is EDII's responsibility to report the purchase of more than 5% of a company to the SEC, which is what they did. Check EDGAR and you will see the 13D filing.
