DCGR International Holdings, Inc. Enters the Internet Community by Signing a Letter of Intent to Acquire Personal Tutor Learning Systems, Inc., an Internet Based Tutoring Service

BOCA RATON, Fla.--(BUSINESS WIRE)--Jan. 13, 1999--DCGR International Holdings, Inc. DCGR announced today that it has signed a letter of intent to acquire Personal Tutor Learning Systems, Inc. a company specializing in live interactive tutoring on the Internet.

Personal Tutor Learning Systems, Inc. specializes in grades 4 through Junior College. The service provides live tutors primarily in the areas of Math and Science as well as English as a second language. Personal Tutor Learning Systems, Inc. will begin Internet operation in the spring of 1999. Currently they are a WEB design and hosting company. The service will also offer a host of self help learning modules geared to people who wish to increase their general knowledge.

Personal Tutor Learning Systems, Inc. was purchased for an undisclosed amount of restricted stock and cash.

Don Platten, President and CEO of DCGR stated, "With the addition of Personal Tutor Learning Systems, DCGR has crossed into the technology arena with a service that is sure to be a winner with both students and parents alike." Mr. Platten went on to add, "With the advent of a high profile technologically based division, DCGR will now be able to offer its shareholders an opportunity to take advantage of the explosive growth related to Internet based companies and services."

Yep, as I said on that thread, their revenues for the last three quarters have sucked. What intrigues me about ECIN is that it's a nasdaq listed stock with a market cap of $5m and shareholder equity in excess of $8m, so it's trading below book value. They're cash strong with $1.3m in cash and cash equivalents. $2.2m in treasury Bills and $1.32m in accounts receivable. They launched their high speed internet service last year that I'm trying to get information on. If this is successful, maybe they can join the rest of the "over valued" internet stocks. <g>
