The problem IMHO is not the reporting of any accumulation! It could be much more subtle than that! Barrick has "friendlies" accumlate the shares and then tender to the offer. Although completely illegal...it is also completely untraceable!

I don't make the rules , hostile take over or not,if you aquire 10 % of a company reporting is required to the administrator I assume that would be the securities commission. I acan only assume that ABX aquired less than 10 % to get around alerting the public of their intentions . It doesn't take a rocket scientist to figure that out.
If you're in the business you should check out the rules. How many Companies have you ever seen in an hostile takeover situation anyway?

As for how many they have accumulated to this point with their $4 offer I don't know, but they couldn't have bought 10% or more legally on the open market without disclosure. If the rules are not followed fines can be imposed through the courts. Any RR who trades for a person or company and ignores the rules can lose his licence to trade.

He?she can be banned for life from trading. Fines for RR's cxan be $1 million or 3 times the gain received.

The IDA and the exchanges have the power to investigate violations of by-laws and regulations by their members and since a company cannot trade without using a registerd representative. The RR and the buyer would have to disclose when disclosure is required as in when a person or company becomes an insider after obtaining 10% of a companoies shares.
They won't have to disclose every 2% here because the takeover was announced before achieving 10%. They can't disclose what they have accumulated with the bid until 21 days after the bid was announced.
