All the shareholders--that's us folks--will get to vote in proxy, registration statement. That's called shareholder democracy. Therefore, courts will not get involved. imo. For all we know, this is a suit really initiated by competitors hoping to get access to sensitive company information under the guise of assessing valuation. Think of it, while courts are able to determine fair value in some shareholder actions, in particular private companies where book value and where traditional valuation methods of discounting income stream or sales can be utilized, it is a lot more difficult to assess value on a stock like Ascend. The market essentially determines the value.

Why would you say that?
Ascend has that very expensive "no back-out" clause. Why would anyone want them now?
We got a great price for Ascend.
It will be even better by the time the deal is finalized.
