i agree 100%. Digitcom would have to issue the shares related to the options, not jimmy chin as an individual as digitcom is the party to the jv agreement.

however, given that the options would not be issued until the anniversary date of the jv agreement, this gives jimmy significant time to pass a board resolution increasing the number of authorized shares.

Now that I have more time to think about the share issue, I agree that the shares most likely come from DGIV shares, just like any other share incentive program by any other company. DGIV does have a number of authorized shares available to advance the business, as you have stated.
