Actually, wouldn't it be better for both parties to determine what the option price is specifically so they can know how many shares are involved, rather than just leaving it to "chance" by leaving it so open? Also, the negotiations must have taken months, and I would think the option price was reached during those discussions.
No matter how one looks at it, however, it is still good to me that teltek was agreeable to an option price of 1.5, indicating that they must feel good about the chances of an increase in the price.

Another important point is that Teltek was confident in DGIV and was willing to partner with it at such an option price after talking to DGIV and going over its business plan. In a way, Teltek has done its own DD of DGIV (much better than any other investor could have done, since they have access to everything, I would think) and after DDing DGIV, it feels good enough to do the deals and to "buy" DGIV shares at 1.5.
