In response to Point #3

Goodwill usually arises when a company pays an amount which exceeds the value of all the identifiable assets of the acquired company. It is reported on the Balance Sheet of the purchasing company under Fixed Assets and may be amortized over a period of time. However for income tax purposes amortization of goodwill is not allowed as a deductible expense.
