B.D.--

ok, lets take a walk through this slowly. first, you contract goldman to underwrite a stock offering for split pea, most of which is going to be handed over to current PPOD shareholders. then they go on the road show and build up the potential of the company to institutions.

net result is that split pea goes public with a small float, generates a little cash for PPOD and gives a REAL payback to shareholders in the form of stock in a ecommerce SW company.

PPOD could still get warrants for stock, and this would get split pea off the books. additionally, it would give us an additional analyst...one who carries a lot of weight. the net result is that i would have, say, one share of split pea for every 3 i had in PPOD and the value of both would be much higher.

the name of the game is exposure and lining up the right support. i didnt see management even attempt to do this.

now, tell me what was so great about the way THEY did it.

good luck to all,
trey
