So Rosario, I see from looking at references to All-Tech that they were set to do an IPO last May, to get on the AMEX, but they failed to do it. Looks like they were offering 30% of the company for about $50Million. That values them in their mind at about $170million market cap.

Proposed Symbol: ATN
# of Shares in M:6.25
Value of offering:$50.0
Price Range: $8.00 - $8.00
Expected Date of IPO: TBA

Apparently, their effort punked out from lack of interest. Now I guess they have set their sights a little lower if they are looking to merge into a company that only has a $12Million market cap.

Or is this going to be a reverse merger where the current company is actually the shell that is being bought?
