There is no doubt in my mind that TLAB needs CSCO (in this scenario) to move ahead and that CSCO can benefit greatly from the exposure to the carrier markets that TLAB has. It ultimately comes down to valuation and effect on earnings.

Frank, the cultural mismatch between CSCO and traditional "carrier buying circles" is becoming less significant. The services industry landscape is changing so rapidly that the non-fitting entities are becoming fewer and fewer. That cultural divide is dissipating rapidly at IXCs and is non-existent at data CLECS, ISPs, and the new facilities-based carriers.

It still exists at the ILECs, but for how much longer? As the ILECs transform themselves into little more than wholesale transmission vendors and cede the value services to resellers, it is the new resellers who will require products with an enterprise/user genesis.

While CSCO could gain presence at ILECs and some PTTs with Tellabs, it seems to me that a union of this sort would benefit Tellabs even more.

Frank/Anyone, Are you aware of efforts by any carriers to migrate 1/0 and 3/1 services off traditional DACs equipment like equipment made by TLAB and LU? Presumably, much of the grooming could take place over a 3/1 or 1/0 ATM circuit emulation box. "Mulit-Service" currently means ATM & Frame to the analyst community (as it relates to products from ASND, CSCO, LU, NN and NT) However, I expect several large deployments of circuit grooming over ATM to displace traditional DACs networks this year. TLAB is a great company but I think they need to aquire or be aquired. Circuit grooming over ATM circuit emulation will hurt them, IMO.
