SAN DIEGO--(BUSINESS WIRE)--Jan. 19, 1999--JNI (formerly known as Jaycor Networks Inc.) Tuesday announced that it has completed its acquisition of Adaptec Inc [Nasdaq:ADPT - news]. Fibre Channel assets, including intellectual property, patents, product lines and development plans, as well as staff in San Jose and Irvine, Calif.

As part of the relationship, Adaptec and JNI have entered into joint manufacturing and sales relationships to support current customers and expand the market for Fibre Channel products.

''By acquiring Adaptec's Fibre Channel technology, JNI is taking the critical step to be not only a systems builder, but also a core technology developer,'' said Scott Ruple, vice president of marketing for JNI.

''As a result, we will be able to better maintain our high quality of products over the long term, reduce costs, build on our Sbus
dominance, and offer products that very closely meet the needs of our rapidly expanding customer base.''

JNI has already begun selling several Adaptec Fibre Channel products, including the Adaptec FC chip known as Emerald. Emerald is used in JNI's FCE-3200 and FCE-6400 line of 32-bit and 64-bit PCI-to-Fibre Channel host adapter cards.

''This is an ideal solution for both Adaptec and JNI,'' said Tom Marmen, vice president and general manager of Adaptec's
Enterprise Solutions Group. ''We, through JNI, are ensuring that the needs of our established customers will be met, and at the same time we are able to pursue our renewed strategic direction.''

Fibre Channel products are the enabling technology behind Storage Area Networks (also knows as Enterprise Storage Networks), one of the hottest trends in enterprise computing today. While terms of the deal were not disclosed, part of the agreement includes Adaptec's acquisition of an equity stake in JNI.
