Diamond Offshoresays notes offer below value

HOUSTON, Jan 20 (Reuters) - Diamond Offshore Drilling Inc. on Wednesday cautioned shareholders that an offer for the
company's 3.75 percent convertible subordinated notes due in 2007 does not represent the current market value of the notes.

The company said in a statement the cash offer was made at $689.15 per note.

Diamond Offshore is engaged in deep water drilling.
