trade show in Las Vegas April 6-9, 1998:

NEW TV / COM STRATEGIC ALLIANCES:

TV / COM Obtains $5 Million Contract from NDS to Develop Commercial
IRD for Cable Headends.

TV / COM is customizing its P2020 series of commercial Integrated Receiver Decoders
(IRDs) to produce the CSR820 commercial satellite receiver for NDS, an end-to-end
digital broadcasting solutions supplier. The CSR820 will include all the features of TV /
COM 's P2020 with NDS VideoGuard Conditional Access and special software features
enabled with NDS uplink equipment.

TV / COM Provides Satellite Uplink, Digital Set-Top Boxes to Bring
Filipino, Chinese TV Programming to North America.

TV / COM has been selected by ABS-CBN International, the largest media company in
the Philippines, and CTN, the Chinese Television Network, to provide digital video
broadcast (DVB) equipment for the delivery of news and entertainment to bilingual
homes in North America. TV / COM is providing the compression system, network
management, Conditional Access, satellite modulation and digital satellite receivers. The
programming originates in Asia and then is sent via satellite to ABS-CBN in the U.S.,
compressed into MPEG-2 DVB format, then sent via satellite to Filipino and Chinese
homes in North America.

NEW TV / COM PRODUCT ANNOUNCEMENTS:

TV / COM Introduces Newest Line of Set-Top Boxes for Digital Cable and
DTH Satellite Services.

TV / COM has developed two new products that address the need for low-cost, highly
flexible consumer set-tops for receipt of digital video, audio and data services - the
TVC-3100, developed for digital cable services, and the TVC-3200, designed for
Direct-To-Home (DTH) satellite services. These products, along with TV / COM 's
newly developed satellite set-top for BSkyB, establish TV / COM as a major supplier of
digital set-tops.

TV / COM 's DVB Data Server Provides Value-Added Data Services.

TV / COM 's new DVB Data Server allows program providers to deliver data services
such as news, weather, sports, financial and Internet content to their customers within
either cable or Direct-To-Home (DTH) satellite broadcast networks. The DVB Data
Server accepts data at speeds up to 20 Mbps, formats it into DVB packets, multiplexes it
with a DVB video stream, and sends it to consumer set-tops or PCs.

State-of-the-Art Domain Management System Heralds Systems
Integration as New Direction for TV / COM .

TV / COM 's new JAVA-based Domain Management System (DMS) provides
state-of-the-art, real-time network monitoring and control of broadcast equipment. TV /
COM 's modular DMS architecture, based on the Telecommunications Management
Network architecture, creates an open, flexible, easy-to-upgrade management
environment. DMS positions TV / COM to easily integrate third-party equipment with its
