Wordcraft Systems, Inc. is a multinational designer, maker and
distributor of HydraFax Computer Software for the Automated Office
Equipment Industry, which operates over 90% of MFDs and allows users to
Fax, Print, Scan and Editdocuments directly from their PCs. The software
operates an expanding group of MFDs produced by major automated office
equipment manufacturers including:Brother, Dex, Konica, Lanier
Worldwide, Minolta, Mita Copy Star, Munroe Systems, Muratec, NEC,
Omnifax, Panasonic, Pitney Bowes, Ricoh, Sharp Electronics,Toshiba, and

machines were built in 1995, and that presently, fax machines account
for about 33% of all business calls, a percentage which it says is
expected to rise to 50% or more. The average phone bill for each
corporate fax machine was $7,000 in 1993, a total of about $5 billion.
In 1993, more than 46 million fax pages were transmitted compared with

T. A. P. finds Wordcraft Systems Inc. very undervalued at current
prices! Not only is WORC profitable with the success of their HydraFax
software, catering to an impressive list of clients, on 9/25/98 WORC
announced through its subsidiary Next Century Systems Inc.(NCS), that it
has entered into a Purchase/Distribution Agreement with San Diego
Processing Corporation (SDDPC)to acquire its powerful SWIM (Desk) and
SWIM (Pen) software. SWIM is an acronym for (Sewer Water Infrastructure
Management) which has been in use for the last 24
months by the City of San Diego. There has been a substantial amount of
interest by many companies within the water utility industry. In our
talks with Mr. Mittler,CFO, WORC has already $20 million in current bids
out to various utility companies to purchase SWIM and expects to at
least close 50% or better of these outstanding proposals.

On 10/9/98 WORC announced it has entered into a Distribution Agreement,
also with SDDPC to market and distribute TRIM (Tool Room Inventory
Management)which will help large Utility companies keep track of parts,
inventory and tools that change hands on a day to day basis.

And on 11/6/98 WORC entered into a business partner relationship with
Microslate, Inc.of Canada to market and distribute its powerful pen
computer(Intel-based Pentium). Equipped with Global Positioning
Technology (GPS), the Microslate portable pen based computer also
features internal wireless communications, mass storage and truck
docking which permits uploading and downloading of data to and from a
central database.

personal preference. Games available include: Texas Holdem, 7 Card Stud,

additional playing time for a subscription fee. Virtual Poker is the
only game of its type on the Internet."Virtual Black Jack" is currently
under development.

The Company's management team consist of Mr. Harry Jedig & Mr.Harrysen
Mittler, and a highly skilled team of industry experts. With this group,
the company is able to fulfill each area of business required to manage
this company effectively. In addition, the company has access to other
intellectual resources that may be retained on an as needed basis in the
areas of technical support, research and development, finance,
and strategic planning.

On 12/18/98 Wordcraft announced that it has engaged Houlihan Smith & Co.
Inc,NASD/SIPC of Chicago, to provide the Investment Banker's Perspective
on Due Diligence and Financial Analysis for Mergers, Acquisitions &
Securities Offerings for WORC. After phase one of its analysis and
review of the company's SWIM/TRIM and HydraFax software products, it has
drawn the conclusion that WORC has "significant financing merit". In
addition, the Kensington Group LLC. of San Diego
has been retained to provide capital funding in the form of debt
financing of up to $3 million to implement the existing business plan
and marketing of SWIM/TRIM worldwide and HydraFax PC-fax software in
North America.

Wordcraft Systems, Inc. is scheduled to appear on CNBC 1/30/99, on the
