Advanced Micro Devices Outlook Revised To
Stable By S&P

NEW YORK -- Standard & Poor's affirmed its ratings on Advanced Micro
Devices Inc. (AMD).

The outlook has been revised to stable from negative.

S&P said: "Ratings on AMD reflect the company's challenges in executing its
business plan in a very competitive market. Sunnyvale, Calif.-based AMD
manufactures Windows-compatible personal computer microprocessors and
other semiconductors. The revised outlook recognizes the operating and
financial progress that AMD has made during the last several quarters.

"AMD had achieved a good market share in the low-priced PC market
segment with its "K6" series of microprocessors, but it does not yet offer
products for the higher end of the consumer market nor for the professional
market. Still, the company exceeded its forecasted production volume levels
for 1998, while the extent of its performance shortfalls have diminished. Price
pressures and difficulties in fine-tuning its processes towards high speed chips
have prevented it from reaching its targeted $100 unit price level in 1998.

"Improved chip speeds and presumed higher prices for the
soon-to-be-released "K7", along with expected penetration of additional
brand name PC companies, could lead to some sustained improvement in
operating profitability in 1999. Nevertheless, long-term prospects are
challenged by Intel's rapidly proliferating product line, aggressive pricing
policies, and substantially greater balance sheet strength, in addition to Intel's
R&D, marketing, and manufacturing prowess. The company's other product
lines continue to face difficult market conditions."
