Dear STLMD: PS. I wonder if any of this has anything to do with the resignation of Judith Draper in March 1998?

I was thinking the same thing, however I DID NOT go back and compare the date of her resignation to the earlier described events (dont even know if you can) and I would NOT make any such statement without facts as that would be QUITE serious IMHO.

As to the vote, unless persuaded otherwise, I intend to vote NO on the options resolution for the following reasons:
1. Stock has NOT appreciated since last vote (so since they already got cheap options ONCE why should it be twice?
2. The dilution (shares O/S) IMHO has gotten way ahead of itself. With the MANGAN transaction, the awarding of shares or warrants or both (forgot details at the moment) on the financing deal and the options issued already I believe we may find ourselves now WELL OVER 25,000,000 shares. I remember when JJ told us there would be NO MORE dilution--I think that was about 3,000,000 shares ago (haha)
3. I think that if certain persons have worked hard (and I have no doubt they have) and been successful (seems to be no doubt of that operationally) then until the Revenue can get up to support current o/s stock or until they can get some kind of buy back program going I think Stock Options should be monitored very closely. Based upon their IMMEDIATE awarding last year of THE ENTIRE PLAN I just dont trust them to be conservative in this area. JDN
