"The Company also announced that it intends to restate its first and second quarter earnings during the next 21 days. The primary reason for the restatement is to reflect SEC recommendations regarding the reporting of embedded interest and dividends related to the debentures and the conversion of the Series A Preferred Stock which were issued for the acquisition of Fanzine. Management confirms that all of the preferred stock has been converted into common stock."
