They can recommend a split and get authorization for extra shares at a future meeting. Not uncommon. Compuware (CPWR) just did it. They Ex-dividend a 2:1 split tomorrow, with shareholder approval late Feb.

Going what I.P.M. just said, SUNW recently announced a split that is going to require shareholder approval to increase the number of authorized shares. The same situation occurred the last time CPQ split.

To the best of my knowledge, shareholders have never voted against authorizing to increase the shares if it meant them getting a split.
