Effective control of equity in Wave:

A recent post on Raging Bull declared that Peter Sprague owns 3,000,000 shares of WAVX class B common. I think that is inaccurate. Still, he has a huge position, especially when one considers his enhanced voting power on questions of corporate control. The form S-1/A filed on June 3, 1998, reflects these positions as of March 25, 1998:

Peter Sprague:
class A: 1,995 shares
class B: 1,873,834 shares

Steven Sprague
class A: 152,195 shares
class B: 190,659 shares

all six directors (including Peter and Steven)
class A: 373,403 shares
class B: 2,401,493 shares

Should any person or group acquire beneficial ownership of 20% or more of the outstanding voting securities of the company, then each class B share would have five votes on any matter submitted to a vote of the stockholders. In such an event the percentages of total voting power (as of March 25, 1998) would be:

director and CEO Peter Sprague, 24.2%
director and COO Steven Sprague, 2.9%
director Bagalay, less than 1%
director Bertin, less than 1%
director Gilder, less than 1%
director McConnaughy, 4.5%

directors as a group, 32.6%

Significant outside concentrations of voting power (again as of March 25, 1998):

Aladdin Knowledge Systems, 11.7%
Financiere Wagram Poncelet, 6.0%

Something is definitely happening, that's for sure. Not only over a 40% gain in one day, but almost 3 million shares sold--that would have to be close to a record for WAVX, wouldn't it?

I'm also from Washington DC and, as a consequence (I guess), a techno-idiot (what is it about us, Trippi?), but judging from today's movement I believe that this stock may well be about to reach critical mass. I'm not one to believe in the evil done by sinister "market makers," but I believe that this stock, in particular, will move quickly when things are about to hit.

Jesse Livermore, on the RB WAVX thread, has an analysis that if WAVX ever gets to 10 that will mean that we are "home free." That's probably a little simplistic, but I basically buy into the concept. If/when it gets to 10, I'm buying a bunch more.
