If you're going to provide EBPP services for all of
Yahoo's customers, you're going to need a lot of infrastructure.
Better to spend the money up front and make good first
impressions on your new subscribers than to go through
what AOL did a few years ago. I'd be curious to know how much
the online brokers have invested in servers and networks.

Shares are probably not "retired" but more than likely in Treasury to be reissued for Pete's (both of them - K & S) option plan. Also, remember that the number used for calculating quarterly net is a weighted average for the period. They probably exited the quarter with just under 51 million out.
