It sounds to me like Microsoft was offering the ability for Netscape to use the IE engine and build on top of it, ceding all control of standards to Microsoft in the process. I think there are
a few 'boutique' browsers out in the market that do this.
Their lack of popularity shows what would have happened had Netscape accepted.
