Dear Kim: Thank you for your response, it was pretty much as I estimated but wanted others to review. In my judgement it does put a slight drag on upward pressure after 15 or so but as you say, much better than the alternative. JDN

Slight correction, Kim. If the holder of the preferred stock converts to common, the company isn't obligated to register those shares for 6 months. This prevents the holder from being an immediate seller of stock upon conversion. Very smart. Therefore, this will not be a drag on the stock performance, nor limit the upside potential; other factors will determine the near term price movements of the stock in my opinion.
