CBSMarketwatch.com (MKTW) offers one recent example of website spinoff:
MKTW IPO gave its 50:50 owners, CBS and DataBroadcasting (DBCC), an expanded capital base ($$$ for subsidiary MKTW shares)without diluting voting or equity positions within each of the parent corporations.
CBS and DBCC each retained about 38% of the independently funded subsidiary, Marketwatch -- which previously was only a cost drain to its parents.
MACR could spin off as much as 49% of Shockwave.com in an IPO, maintain full management prerogative, and bring the proceeds of the IPO into MACR's consolidated accounting (ultimatley, $/MACR share).
Not bad.
