SUN MICROSYSTEMS, INC. 901 SAN ANTONIO ROAD PALO ALTO, CA 94303 February 11, 1999 TO THE STOCKHOLDERS: The Board of Directors of Sun Microsystems, Inc. (the "Company") has called a Special Meeting of Stockholders (the "Special Meeting") as described in the enclosed Notice of Special Meeting of Stockholders and Proxy Statement. At the Special Meeting, the Stockholders will be asked to approve an amendment to the Company's Restated Certificate of Incorporation to increase the number of shares of Common Stock, which the Company is authorized to issue, from 940,000,000 to 1,800,000,000 shares. Because this is a Special Meeting and there is only one item of business for the Stockholders to act on, the Company will not have any presentations from officers or product demonstrations during the Special Meeting as it typically does for its Annual Meeting.
