I don't recall any such resolution and shareholder vote. Instead, there was an approved resolution which prohibited TSIS from selling additional shares for one year. Not sure how that would restrict a buyback.

Other recollections?

(IMHO, applying excess cash to build the "asset base" will support the ultimate goal of qualifying for listing much more so than would a share buyback.)
