Not so sure it would be illegal.....

It has happened before. Secondopinion was an investor in a company involved in a similar situation:

The Teknowledge/Trilogy law suit I told you about settled about 3 or 4 years ago. Trilogy was sued by Teknowledge (I believe they were called CimflexTeknowledge when the case started) for patent infringement on one of their software designs. Teknowledge had all kinds of other trouble at the time and their stock had dropped to less than 1 cent per share. Trilogy bought up a serious block of stock at bargain basement prices. I think they ended up owning
about 40% of the company. As part of the settlement, Trilogy agreed to divest themselves of all Teknowledge shares within 2 years of the
settlement, but by that time Teknowledge was back on its feet and was selling for over 50 cents per share. Trilogy obviously made money on the deal although they would have made much more if they had been allowed to hold. The Teknowledge shares peaked about a year after they were out of the shares at $2.81.

Never say never!
