Tom, details of IPO/spinoff are not available. All we know is that an event which will make the Internet business independent is "imminent," and the underwriter has advised the company that they are in a quiet period regarding forward looking statements about it. It may just be a spinoff and not a full fledged IPO, but we don't know the details. We do know there is a big "media" investor involved but don't know who that is.

Tom and Thread

As others have said, no one knows for sure what is going to happen with the IPO/spin off, and the company is in an SEC imposed quiet period on it now. One thing for sure though: IDTC shareholders will benefit!!!!

Most likely it will be an IPO with IDT maintaining a large % of the shares as well as pocketing the cash from the sale of others. In this event IDTC shareholders may even get some of the shares. Perhaps 1 share of the IPO for every 5 shares of IDTC. 1 for 5 is the potential deal the CEO of Executone (XTON) is proposing for their upcoming internet IPO. NAVR and DLIA are also near to doing internet IPOs also. When you look at their recent stock price surges on charts, it will give you all clues as to where IDTC is going.

Hope this helps
