Hi Frank,

FWIW I'd like to say I appreciate the contribution you've made to the thread and look forward to continued discussion whenever you pop out of lurk mode.

I'll agree with all your points except the one you know I JUST HAVE to debate one more time.

<Yes, to vote yes, on S3 request To amend the Company's Restated Certificate of Incorporation to increase the number of authorized shares of Common Stock. There is a very good reason....VERY good, you'll like it, I'm sure.>

The only use of extra shares that I would be hap-hap-happy about would be acquisitions of some of the smaller graphic companies that would add technology and share holder value to S3. If the BOD approved a merger/acquisition it would still require share holder approval. If I ever receive a proxy asking me to vote for additional shares to specifically cover a stock swap for a particular acquisition, I'll jump on the bandwagon and yell "Let's all vote yes.".

The current proposal is for a 50 million share slush fund that holds no guarantee to increase share holder value. In fact it states that it stands a good chance of diluting share holder value. I respect your opinion but I'll still use my proxy to vote NO. These things usually pass, but it won't get any help from me.

I'm sort of guessing we might see a press release about the new chips this week. Might get a little bounce out of it if we do. We'll see.

Regards,

Don
