Come on jhild there is a big difference between authorized number of shares a Company CAN sell and how many are actually out there!!!
Any investor knows that, I would hope.

Maybe Reg D, lololol? Annual limit $1 million, but you can issue as much stock as you LIKE for that amount, of course. Often used for a Friends and Family thing, naturally.
