Because the conversion price of the warrants is 3 bucks---today's ask is 3 1/2. You would be paying 1/2 buck more per share plus commission.

DG,

the strike price on the warrants is $3.00, this means it will cost you $900 to convert the 300 warrants to common share.

If you bought on the open market today 300 shares would cost you$1,050. thats a saving of $150!

thats why you should convert and not buy

DG, ok, here's the deal for ya...

If you buy 300 shares today you'll pay 3 1/2 at the ask and those new market bought shares are NOT eligible for the ArchivalCD dividend.

If you convert your 300 warrants at $3.00, you'll have 300 more common shares for $150 less AND those converted shares ARE eligible for the ArchivalCD dividend.

The ArchivalCD dividend will be paid on ALL common shares owned as of Jan 22, 1999 AND all warrants CONVERTED to common as of Feb 5, 1999.

So, you have until this Fri to initiate your conversion to be eligible for the additional 43 (300/7) AND save $150 to boot...

Does this make sense?

I see the others have already given you the answers, but the warrants are active until June 1, 1999. You dont have to convert now if you dont want to. The big reason we extended the dividend date for the warrants guys was to give them fair chance at the dividend, if they wanted. There will be more along in the future, but since we now have all the bugs worked out of the warrants, we will not be doing anymore extensions.

Anyhow there is nothing wrong with waiting for higher prices to convert your warrants... If you want you can let them expire unused. We gave them to you to use as you please, and to also try and make up for the losses many of us have/had suffered during this 300 to 1 reverse split.
