In the long run, BOTH companies are getting a lot. ATHM gets a portal with name recognition, a pretty strong customer base, and a lot of proprietary technology (intelligent search, Jango, Matchlogic, etc). XCIT gets major distribution with a broadband leader of the future, and AT&T's deeper pockets and partners as well.

As to whether the deal will go through or not. It WILL go through. Both boards have already approved it, the SEC is unlikely to have an issue with it, and AT&T's sale of Worldcom (Worldnet? I forget at the moment) to ATHM is contingent on ATHM's purchase of XCIT (or some other portal, but XCIT is the one they chose).
