Don't quite understand the question, but I'll take a shot.

Union group does not require shareholder approval if)

-Shares have already been authorized

-or agreement has been reached by constructive insiders who control a majority interest, who vote to authorize the additional shares. (saves honest small companies $ to do mailings, proxies, etc.)

But the original authorized shares should be part of the articles of incorporation.

Hope this helps. The good news is the Union Group shares should be freely traded if he follows through with the offering.
