First of all, this is a non-event at this time. Secondly, it's a proposed share swap. Does it represent anything more that? Does it state what may be the share swap amounts and how many shares the investors will have? For all we know, this is just a changing of the guards and the washing of some dirty laundry. I'm not convinced that this is a good thing. It may be for a pop but will it be sustained? Will there be a slaughter of those rushing to get in? Nothing is clear here and, I repeat, it's only a thought on paper at this time.

LOS ANGELES--(BUSINESS WIRE)--Feb. 2, 1999--Brian Harris,
Chairman of DataPower USA, Inc., announced today that DataPower USA's
Board of Directors is reviewing a share exchange agreement entered into between two of its shareholders and International Semiconductor, Inc. International Semiconductor, Inc., is traded on the OTC Bulletin Board Symbol ISSM. Mr. Harris stated "the share exchange will make DataPower a 59.4% owned Subsidiary of ISC, it will broaden the management base of the Company and allow DataPower to enter new international markets". The proposed transaction is a tax-free exchange of shares between the DataPower USA shareholders and International Semiconductor.
