The requirement, as taken from Nasdaq Rules #4310, Paragraph (c)(3) is as follows:

(3) For initial inclusion, the issuer shall have an operating history of at least one year or market capitalization of $50 million.

A phone call to the NASDAQ investor relations would answer the question if you are so inclined. In the past I have held stocks that have applied for a Nasdaq listing and they were required to complete 3 yr. audits. On the other hand if a company has not existed for 3 yrs, I would presume audits to reflect that fact. BII has operated more than three years name change not withstanding..
