category of 16,720,120 common shares, of which 13,745,619 common shares
will be issued, and 2,974,501 common shares will be reserved for issuance.
Listing of the common shares will become effective at 4:01 p.m. on Friday,
Feb. 5, 1999 in anticipation of the public offering closing on Monday, Feb.
8, 1999. The common shares, other than those which have not been
