PK,
The following is a note I received from Larry McGlothlin. I'm sure Larry won't mind if I post it here. If anyone else would have knowledge of two firms that merged ahead of SEC approval I would like to have the information. Thanks

I read in Investors Business Daily yesterday about the AT&T buyout of TCI. In the article it indicated that the meeting had been set for Feb. 17th for the shareholders to approve. It was also stated that it was expected that the SEC will have given final approval by that date.
I say all that to get to this. It sounded like the meeting had been set well in advance of the approval and in fact could go off without final approval of the SEC. If they can get shareholder approval prior to the final SEC outcome. Then why can't we go ahead and set our meeting and vote and be that much closer to completion, once approval is given?

Best Regards
