I second Pat's views. I much prefer cash bonuses tied to specific performance metrics (I get a bonus that is paid that way myself). I also think that some options are good as they tie in the stock price performance to management's compensation. Options should be focuses on long-term growth. Many of the executives that received the repricing only were hired in 1998. Ballard and others have said again and again that 1999 will be the year of 3Dfx. Then they reprice their options?

My main problem with options playing a large part of compensation is that they are a sham. They have some use when a company is cash poor, but 3Dfx is not cash poor anymore. They increase dilution and represent a real cost to a company.

If 3Dfx had to take an additional income statement hit, do you think they would've repriced the options?

Fair enough. I'm all for shareholder activism. But based on my short squeeze attempts, I'd say the odds are against you to collect enough votes. You may however be able to find out who initiated the vote that you did not like an lobby people to vote against him. Who knows...
