Seems to me like a good marriage. It's sounds like the Phillipine company will get to put some of it's people on the board of GTMI. GTMI will get thier funding to continue with thier technology. Lets assume the worst case scenario: There are about 37 million shares outstanding. Let's say that they double that to about 75 million so the Phillipine company can have 37 mil shares. Now, you have a company with assets in the neighhborhood of $850 million+ divided by the 75 million shares. Book value +$10.00. This would be in the case of an even deal. Then you have a company establishing itself in the US as well as the Phillipines. They are looking to be listed, so it would seem to me that this is about the way it will work out.

Thanks for the response. I wonder what the assets of the Philipine holding company are really worth. Lets just say they are worth 10 to 12 million. Why wouldnt they just sell these assets and buy GTMI's 37 million shares for .30 and have all the board seats, contacts, contracts etc.?

What is GTMI using as currency for the acquisition?
It is a bit unusual not to discuss any terms of an acquisition, when an effort is made to discuss the value of the company being acquired.

I have not invested any money in this company just trying to figure this out.
