Ya know, I thought I heard somewhere that first day threads can't be on the Hot List. On the second day they can get listed based on their increase over the previous day. Does anyone know how this actually works? Also, anyone here with any SEC experience? I was thumbing through Edgar I noticed that Healtheon, an IPO scheduled for this week, just filed their 8-A12G registration form this afternoon (they trade Thursday or Friday):edgar-online.com They filed an 8-A12G last year before they were going to trade, and then decided to delay their IPO. I don't know the significance of the 8_A12G filing, but here's what I did find out about when recent IPOs filed them: MMPT (IPOed last Friday) - filed 8-A12G on 2/1/99 (also filed on in '97) Prodigy (IPO this week) - filed 8-A12G on 2/2/99 Healtheon (IPO this week) - filed 8-A12G on 2/8/99 (today) Verticalnet (IPO this week) - filed 8-A12G on 1/19/99 UPCOY (IPO this week) - has not filed 8-A12G yet In the case of each of these IPOs, they have to file an S-1, the detailed prospectus of the company, very similar to the ANYI filing last Thursday. They also all file an 8-A12G either weeks, or days before the actual IPO. Sitra said ANYI will not be required to file a prospectus, I do not believe they will have to file an S-1 (I could be wrong), so the two filings that have been submitted may be all that has to go through the SEC. Of course I have no first hand knowledge about what the SEC is requiring, Sitra knows what's up and he isn't allowed to comment. I believe their is a separate registration form of some sort that was already submitted to the NASD, but was delayed until the SEC filings were made. Who wants to guess whether ANYI will trade this Thursday or Friday? Next week? I'm willing to speculate that we'll get a PR in the next two days, and that it will IMO declare the trading date for ANYI as this week or the next. Its fun to speculate, but if I'm right I'll probably get a call from the SEC. Yikes! On second thought, I know nothing, nothing, nothing.
