Apparently, as is typical, they need a vote of % of outstanding shares so no vote = a NO vote. Amazes me that they will not voluntarily re negotiate for a reasonable price. They could swallow their pride and say the market was so good that they want to avoid legal costs. My guess is that without this deal, the stock would be at least at 11 today.

If Zucco and the others really have sweetheart deals, this may be one rare class action which actually gets money for someone other than the lawyers. I only hope that the lead plaintiffs are people with significant shares and fortitude. I say that as a lawyer because if they are not the securities lawyer will often have an incentive to sell them down the river once the legal fees are at a point of diminishing returns.
