Ambient Completes Buy Out Of Cirrus Logic's Modem Business
New Company Will Focus On Supplying Communications Products for Internet Connectivity and Home Networking Markets

FREMONT, Calif.--(BUSINESS WIRE)--Feb. 19, 1999--Recently formed Ambient Technologies, Inc. announced today that it has completed the purchase of the modem IC business unit from Cirrus Logic (Nasdaq:CRUS - news) in a transaction involving cash and stock.

Ambient was formed by the employees of the Cirrus Logic Modem Business Unit and intends to continue marketing the former Cirrus Logic V.90 modem product line, as well as expanding into the emerging xDSL/G.Lite and home networking markets. ''We are very pleased to conclude the buyout of this strong business, which currently is generating $1 million per employee in revenue for Ambient,'' said Fred Schuckert, Ambient's President and CEO.

''We have world-class communications IC products which are proven leading-edge solutions for internet connectivity, an established customer base and an assured supply of silicon at competitive prices.'' he added. ''The former customers of Cirrus Logic can rely on our total commitment to support them with products powered by Ambient's innovative technology which will enable them to compete and win in their markets.''

Ambient's mission is to develop and market products that facilitate Internet access by the consumer. This will include connectivity products such as G.lite modems and high-speed home networking products that use the power-line within our homes as the medium of communications. Ambient will focus on providing ease of ownership, ease of use, and ease of access to end users.
