A sophisticated buyer would first determine the present value of its future income tax obligations using discounted cash flow techniques. Then they would want an additional discount. That's all assuming, of course, that the acquiring company could find a way to use the carryforwards.

No one in their right mind would ever pay full value for tax loss carryforwards.

Apparently your wife doesn't let you get out too often. :-) Too bad because if she did you'd discover that investors use their God-given right to criticize the companies they own on a regular basis. Why don't you visit the NXTL board over on Yahoo and you'll see several heavy hitters who bash NXTL's management on a regular basis when they disagree with them. It may surprise you to know that I'm not one of them although I am a regular on that thread.

P.S. NXTL is a real company with real sales, real management, real offices all over the country and many foreign countries, a listed telephone number, real SEC reports and real customers. TMMI is none of the above.
