3Com Acquires Smartcode Technologie for $17.5 Million

Santa Clara, California, Feb. 10 (Bloomberg) -- 3Com Corp., the No. 2 network-equipment maker, said it bought Smartcode Technologie for $17.5 million in cash to add wireless technology to the software that runs 3Com's PalmPilot hand-held computer.

3Com said the purchase won't affect its 1999 results. 3Com will use closely held Smartcode, based in Montpellier, France, and its 33 employees as the ''nucleus'' for a European software development center headed by Smartcode Chief Executive Alain Molinie, 3Com spokesman Todd Irwin said.

3Com said last week it will ship its new PalmVII, which will have a wireless connection to let users access the Internet, in April or May. Buying Smartcode, which has partnerships with wireless-equipment makers and service providers such as Alcatel SA and Motorola Inc., gives 3Com faster access to the European market for its wireless Palm products.

''It would have taken (3Com) a lot longer to develop those relationships on their own,'' said Diana Hwang, an analyst with market researcher International Data Corp.

The PalmPilot, which leads the market for hand-held computers, is 3Com's fastest-growing product line and accounted for about 10 percent of the company's $1.54 billion in sales for the quarter ended in November. Smartcode had $20 million in sales in 1998, Irwin said.

PalmPilot had 40 percent of the market for hand-held computers in 1998, according to market-research firm Dataquest Inc. The shares of Santa Clara, California-based 3Com fell 1 1/2 to 30 9/16.
