Under Tanner's previous capital structure, they had authorized 100 million shares, but had issued less than 3 million. There is no reason to assume that they wish to issue all shares that they are authorized to. As I said, having unissued and unallocated shares can be a positive tool for merger and acquisition.

Read the proxy. IMO, the authorized share count needs to be increased. The alternative to this is incurring a rather sizable liability to the preferred shareholders that could keep Tanner's in the red for a long time.
