LS Capital issue........ In connection with the Distribution, each stockholder of LS Capital owning at least 25 shares of LS Capital common stock will receive one share of Common Stock and four Class A Warrants for each 25 shares of LS Capital common stock owned on the Record Date. Fractional shares will not be issued. The Distribution will result in approximately 3.73% of the outstanding shares of Common Stock being distributed to holders of LS Capital common stock
